NaachiChat terms and conditions

1. About these terms

These terms and conditions (“Terms”) are an agreement between you and Naachi Research and Innovation Foundation (“we”, “us”, “our”), with its registered office at 22C Saravana Nagar, 2nd Street, Koundampalayam, Coimbatore 641030, Tamil Nadu, India. They govern your use of NaachiChat, our messaging application, and related websites and services (together, the “Service”).


By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

These Terms work together with our Privacy Policy, which explains how we handle your information. Please read both.

The Service is currently offered in the United Kingdom on a prototype basis, and we do not yet operate a separate United Kingdom entity.


2. Who can use the Service

You must be 18 years of age or older to use the Service. When you create an account, you confirm that you are 18 or older. If you do not meet this requirement, you may not use the Service.

You must provide accurate information when you create your account and keep it up to date. You are responsible for activity that happens under your account, so keep your login details secure and let us know promptly if you believe your account has been used without your permission.


3. How NaachiChat works

NaachiChat is built around a trust-based model. Key elements include:

  • Username-based identity, where you connect using a username and your phone number is not shown to other users by default.

  • Invite-only and consent-based access, where people join through invitations and verification, and others cannot contact you without your approval.

  • Verification, such as peer verification, QR codes, mutual connections, or confirmation by a partnered institution, and verified badges for real people and genuine institutions.

  • Communities and institutions, where administrators can manage membership, assign roles, send announcements, and handle reports or grievances.

You agree not to misuse, bypass, or interfere with these trust and verification features, including the invite, consent, and approval systems.


4. Your content

“Your content” means the messages, voice notes, photos, files, and other material you send, receive, or share through the Service. You keep ownership of your content.

You are responsible for your content and for making sure you have the right to share it. You must not share content that is unlawful, infringes someone else’s rights, or breaks these Terms.

You grant us a limited licence to host, store, and transmit your content only as needed to operate and provide the Service to you and the people and communities you choose to share it with. This licence ends when your content is deleted, except for copies that may remain temporarily in backups or where retention is required by law.


5. Acceptable use

To keep NaachiChat a trusted space, you agree that you will not:

  • Harass, threaten, abuse, bully, or intimidate any person.

  • Impersonate any person or organisation, or falsely claim to be verified or affiliated with an institution.

  • Send spam, bulk unsolicited messages, or attempt to contact people who have not consented to hear from you.

  • Circumvent or attempt to circumvent the invite, consent, approval, or verification systems.

  • Post or share content that is unlawful, hateful, harassing, defamatory, obscene, sexually exploitative, or that harms or endangers others, including content that sexualises or endangers minors.

  • Share content that infringes intellectual property, privacy, or other rights.

  • Attempt to access accounts, data, or systems without authorisation, or probe, scan, or test the security of the Service without our written permission.

  • Introduce malware, or attempt to disrupt, overload, or impair the Service.

  • Reverse engineer, copy, or attempt to extract the source code or underlying design of the Service, except to the extent this restriction is prohibited by law.

  • Use the Service for any unlawful purpose or in breach of any applicable law or regulation.

We may remove content, and suspend or restrict accounts, that we reasonably
believe break these Terms.


6. Communities and institutions

If you create or administer a community or institution on the Service, you are responsible for how you run it, including how you manage members, roles, announcements, and any reports or grievances routed to you, and for complying with applicable laws. If you join a community or institution, you agree to follow any reasonable rules its administrators set, in addition to these Terms.


7. Reporting and moderation

The Service includes ways to report misuse, impersonation, or other concerns. We may review reports and take action we consider appropriate, including removing content or restricting accounts. We are not obliged to monitor all activity, and we do not guarantee that we will detect or act on every issue, but we aim to handle reports responsibly.


8. Intellectual property

The Service, including its software, design, brand, name, logo, and content we provide, is owned by us or our licensors and is protected by intellectual property laws. We grant you a limited, personal, non-exclusive, non-transferable, revocable licence to use the Service in line with these Terms. You may not use our brand, name, or logo without our written permission.


9. Availability and changes to the Service

We provide the Service on an “as is” and “as available” basis. As the Service is offered in the United Kingdom on a prototype basis and is under active development elsewhere, features may change, and the Service may be unavailable at times. We may add, change, suspend, or remove features, and we may update these Terms from time to time. When we make material changes to these Terms, we will update the “Last updated” date and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect means you accept the updated Terms.


10. Security

We take reasonable measures designed to protect the Service and your information, as described in our Privacy Policy. However, no online service is completely secure, and we cannot guarantee absolute security. You use the Service at your own risk and are responsible for keeping your account credentials safe.


11. Suspension and termination

You may stop using the Service and delete your account at any time. You can request permanent deletion of your data by emailing support@naachichat.com, and we will action verified requests as described in our Privacy Policy.

We may suspend, restrict, or terminate your access if you break these Terms, if we are required to by law, or if we reasonably believe it is necessary to protect the Service or other users. Where it is reasonable to do so, we will give you notice.


12. Disclaimers

To the fullest extent permitted by law, we provide the Service without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or completely secure, or that any content shared by other users is accurate, lawful, or trustworthy. Nothing in these Terms excludes or limits any rights you have under applicable law that cannot lawfully be excluded or limited, including certain consumer rights for users in the United Kingdom.


13. Limitation of liability

To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, goodwill, or business, arising from or related to your use of, or inability to use, the Service. To the fullest extent permitted by law, our total liability for any claim arising from these Terms or the Service is limited as set out below.

 

14. Indemnity

To the extent permitted by law, you agree to indemnify and hold us harmless from claims, losses, and reasonable costs arising from your misuse of the Service, your content, or your breach of these Terms or of applicable law.


15. Governing law and disputes

These Terms are governed by the laws of India, and the courts at Coimbatore, Tamil Nadu, India, will have jurisdiction over disputes, except where applicable law gives you, as a consumer, the right to bring proceedings in the courts of the country where you live.
